2020/2021 Cargo Flights Incentive Program

Introduction

The CONCESSIONÁRIA DO AEROPORTO INTERNACIONAL DE BELO HORIZONTE - MG S.A., a private and specific purpose corporation, with its principal place of business in the City of Confins, State of Minas Gerais, at Rodovia MG-10 KM 09, s/nº - Aeroporto Internacional Tancredo Neves, enrolled with the Brazilian Corporate Taxpayers Register (CNPJ) under No. 19.674.909/0001-53, ("Belo Horizonte International Airport", "Confins" or "BH Airport"), presents this incentive program isonomically and transparently, aiming to strengthen its strategic position and establish a domestic and international aviation network to attract cargo flights consistently to the Belo Horizonte International Airport, in the State of Minas Gerais.

Eligibility

All flight operators meeting the following conditions will be eligible to participate in this incentive program:

• Operating cargo flights, that is, operators that do not transport passengers in regular flights with allocated slot;
• Destination to or stop at CNF, and, in such situations, unload and/or load cargo at CNF;
• Operating new routes or new frequencies, both with slot allocation, in international and/or domestic routes;
• Minimum of one (1) flight every fortnight in the first twelve (12) months, and one (1) flight every week between the thirteenth (13th) and twenty-fourth (24th) months;
• The airline must have adequate infrastructure for the cargo arrival at/exit from the destination and origin airports, including CNF;
• Continuity of the incentive will be subject to the existence and validity of the slot allocated for the flight.

Discounts

Once the eligibility requirements in the previous item, above have been met and duly recognized by BH Airport, all flight operators will receive a 100% discount on domestic and/or international landing and take-off tariffs, as well as a 12-hour stay fee for all flights in the respective destinations. There will also be a 100% discount on cargo palletizing and depalletizing service fees for flight service.

In the event of non-compliance with the agreed minimum flight frequency, the incentive is automatically suspended in the month following the calculation, and the company shall bear the costs of landing, take-off, stay, palletizing, and depalletizing according to the current tariffs and payment rules.

Term

This incentive rule will be applied as of the execution of the Adherence Instrument.

The discounts will be given during the term established in the item Eligibility, considering the cumulative fulfillment of all eligibility criteria, as attested by BH Airport, and the execution of the Adherence Instrument.

Applicarion and Contact

The companies eligible for this incentive program that meet the Eligibility requirements, above can apply for the program via email to logistica@bh-airport.com.br.

The following documents must be filled in and returned, signed, to BH Airport via the contact email indicated above:

• Proof of slot allocation;
• This Adherence Instrument (duly signed by the legal representatives of all flight operators), the statement of acceptance and compliance with the aforementioned requirements, terms, and conditions of the Incentive Program.
• Corporate documents that grant powers to the legal representatives signatory to the documents listed herein to enter into agreements/contracts.

The discounts given hereby may or may not be used in conjunction with other discounts in Incentive Programs that may be disclosed in the future.

Miscellaneous Provisions

The parties undertake to comply with, or enforce, on their own behalf and that of their affiliates or their owners, shareholders, employees, or any subcontractors, the rules applicable to them and concerning corruption and harmful acts against the government, pursuant to Law No. 12.846/13, and must:

• maintain internal policies and procedures that ensure full compliance with such rules;
• explain the rules in full to all employees that may hold a relationship with the other Party, prior to commencing the activities under this agreement;
• refrain from corruption or acting in a manner harmful to the Brazilian or a foreign government, in the interest or for the benefit, whether exclusive or otherwise, of the Parties;
• in the event it becomes aware of any act or fact which, as of the execution hereof, violates the aforementioned rules, immediately inform the other Party, which may take all measures it finds necessary.

Effectiveness

The effectiveness of the Incentive Program for all flight operators wishing to join such program is contingent upon the signature below for acceptance of the Incentive Program Adherence Instrument.
